These Terms of Service (“Terms”) govern your access to and use of ChamberPages Awards Manager (the “Service”), operated by ChamberPages (“we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.
1. The Service
ChamberPages Awards Manager is a software-as-a-service platform for chambers of commerce, associations, foundations, and similar organizations to run awards programs, scholarships, grants, and other submission-based selection processes. The Service includes the web application, public application pages we generate on your behalf, and supporting features like email notifications and exports.
2. Accounts
To use most of the Service you need an account. You agree to provide accurate information, keep your login credentials secure, and let us know promptly if you suspect unauthorized access. You're responsible for the activity of users you invite to your organization, including admins and reviewers.
3. Acceptable use
You agree not to:
- Use the Service for anything illegal, fraudulent, or harmful to others.
- Upload malware, attempt to access another organization's data, or interfere with the Service's operation.
- Resell, sublicense, or share access to the Service outside your organization.
- Use the Service to send unsolicited bulk email or otherwise misuse our transactional email infrastructure.
- Scrape, reverse-engineer, or use the Service to train machine-learning models without our written permission.
4. Your content
Submissions, applicant data, scores, rubrics, branding, and any other content you or your applicants put into the Service (“Your Content”) belongs to you. You grant us a limited license to host, store, process, transmit, and display Your Content solely to provide the Service to you.
You are responsible for making sure you have the rights and consents needed to collect and process the personal information of your applicants, reviewers, and nominees through the Service, and for complying with the laws that apply to your program.
5. Pricing during early access
While the Service is in early access, organizations that sign up pay nothing (the “Early Adopter” plan). When we introduce paid plans, accounts created during early access keep their free pricing as described on our pricing page, subject to ordinary acceptable-use limits. We'll give at least 30 days notice before changing the pricing model that applies to existing early-adopter accounts.
6. Future paid plans
If you sign up for a paid plan in the future, the price, billing period, and included features will be stated at the time of purchase. Fees are non-refundable except where required by law. We may change paid-plan pricing with reasonable notice (at least 30 days for annual plans).
7. Termination
You may stop using the Service at any time and ask us to delete your account. We may suspend or terminate access if you breach these Terms, if your use creates risk for us or other customers, or if we're required to do so by law. We'll give you a reasonable chance to export Your Content before deleting it, except where prohibited.
8. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that all defects will be corrected.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the greater of $100 USD or the amount you paid us in the twelve months before the event giving rise to the claim.
10. Indemnity
You agree to indemnify and hold us harmless from claims arising out of Your Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.
11. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we'll notify you by email or through the Service before it takes effect. Continued use after the effective date means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of the United States and the state where ChamberPages is organized, without regard to its conflict-of-law provisions. The parties consent to the exclusive jurisdiction of the courts located there for any dispute that cannot be resolved informally.
